Blank Rome represented Breakthru Beverage Canada Inc. (“BBCanada”), a newly formed subsidiary of our client Breakthru Beverage Group, LLC (“BBG”), in its acquisition of 100% of the equity interests of Wirtz Beverage Canada Inc., a spirits and beer brokerage company operating throughout Canada (“WBC”). The transaction was a related party transaction because WBC was owned by the 25% owner of BBG. Subsequent to the closing, WBC and BBCanada amalgamated under Canadian law as part of the tax planning for this cross border transaction. BBG represents as wholesale distributor a broad portfolio of premier wine, spirits and beer brands totaling more than $6 billion in annual sales. The acquisition of WBC expands BBG’s presence internationally.
