Blank Rome represented Breakthru Beverage Canada Inc. (“BBCanada”), a subsidiary of Breakthru Beverage Group, LLC (“BBG”), in its acquisition of 100% of the equity interests of B and W Wines Limited, a Toronto based distribution company (“B&W”). Subsequent to the closing, B&W and BBCanada will be amalgamated under Canadian law as part of the tax planning for this cross border transaction.
An important reason for this transaction was for BBCanada to establish a sales partnership with Jackson Family Wines (which produces such well-known brands as Kendall-Jackson and Freemark Abbey), which has utilized B&W consignment space in accordance with Liquor Control Board of Ontario regulations. BBG represents as wholesale distributor a broad portfolio of premier wine, spirits and beer brands totaling more than $6 billion in annual sales and this is its second acquisition in Canada in recent months.
