Blank Rome Represents NOVA Infrastructure Management, LLC as U.S. Counsel in Its Take-Private Acquisition of UGE International Ltd.

A Blank Rome team, together with Bennett Jones LLP, represented NOVA Infrastructure Management, LLC (“NOVA”), a middle-market infrastructure investment firm focused on the environmental services, transportation, energy transition and energy, communications, digital, and other infrastructures sectors, as U.S. counsel in connection with its take-private acquisition of UGE International Ltd. (“UGE”), a Canadian publicly traded company listed on the TSX Venture Exchange (“TSXV”). The transaction closed on August 15, 2024.

UGE is engaged in the business of developing, owning, and operating community and commercial solar and battery storage projects, using its distributed energy solutions to provide cheaper and cleaner energy to businesses and households across the United States (with a current portfolio of more than 12 operating and 81 advanced backlog projects in 11 states). This acquisition perfectly aligns with NOVA’s strategy of continued investment in entrepreneurial, high-growth businesses with strong infrastructure assets.
