Biography
Kevin O’Malley concentrates his practice in financial services and commercial lending. He primarily represents commercial banks, mezzanine and second lien lenders, equity sponsors, and other institutional lenders and borrowers in asset-based and cash flow financing transactions over several industries.
Outside the Firm
Kevin is co-founder, president, and general counsel of Indie Brewing Company, a craft brewery and tasting room in downtown Los Angeles.
Experience
- Represent an agent in $500,000,000 syndicated cash flow credit facility to public company engaged in the design, distribution, and marketing of footwear for men, women, and children, and other products utilizing specialized patented rubberized materials.
- Represented a private equity fund in orderly wind down and liquidation of portfolio company with U.S., Swiss, U.K., German, and Czech operations and coordinated efforts of U.S. and European counsel.
- Represented ABL agent in connection with a $90 million asset based facility to leading automotive parts company with multiple tranches of term debt in emergence from Chapter 11 proceedings.
- Represented joint lead arranger in split lien one billion dollar syndicated cash flow U.S. and Canadian revolving credit facility to one of the largest tire distributors in North America.
- Represented CapEx, revolving lender and agent in $100,000,000 unitranche facility to company providing end to end home repair services through app based technical expertise and seamless in home experience.
- Represented an agent, in connection with prepetition working capital revolving credit facility and post-petition DIP financing to aeronautics company.
- Represented an agent, in multiple working capital facilities provided to distributors of produce and other agricultural products. Advised on issues related to PACA, PSA and California Processors Lien
- Represented a cellular telecommunications company, in connection with Circuit City and General Motors Chapter 11 proceedings.
- Represented an agent, in connection with $50 million working capital revolving credit facility to company engaged in sale of licensed and unlicensed headphones, apparel and accessories to the extreme sports / snowboarding markets.
- Represented an entertainment finance group of banks, in all aspects of Article 9 foreclosure sale of various film properties, including related screen plays and distribution, merchandising and intellectual property rights.
- Represented a film studio, in collateralizing obligations owing to studio under Revenue Sharing Agreement with major distributor.
